Remuneration of the Executive Board and the Supervisory Board

The Annual General Meeting approves the system for the remuneration of the Executive Board and resolves the remuneration for the members of the Supervi-sory Board. Most recently, the Annual General Meeting on May 10, 2022, ap-proved the updated 2022 remuneration system for the members of the Execu-tive Board with a majority of more than 86%. The remuneration of the Superviso-ry Board is governed by the resolution of the Annual General Meeting on May 19, 2021, which was based on a proposal by the Supervisory Board, and in turn a recommendation of its Personnel Committee, and the Executive Board; the resolution was approved with a majority of more than 99%.

Remuneration reports

The remuneration report was jointly prepared by the Executive Board and the Supervisory Board and is based on the requirements of German stock corporation law (section 162 of the Aktiengesetz (AktG – German Stock Corporation Act); it is consistent with the applicable recommenda-tions of the German Corporate Governance Code as amended on April 28, 2022.
